01Agreement to these terms
lucoly is a community platform and a program of Nashville Tech Builders, a 501(c)(3) nonprofit organization (“lucoly,” “we,” “us”). These Terms of Use are an agreement between you and Nashville Tech Builders, and they apply to lucoly.com and to accounts on the lucoly platform. By using the site or creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the site.
Community sites that run on the lucoly network (for example, nashvilletechbuilders.org) publish their own member-facing Terms of Use and Privacy Policy — those govern your membership in a specific community.
02What lucoly is
lucoly provides software that helps local tech communities run themselves: member portals, events and ticketing, hackathons, newsletters, forms, badges, and related tools. Every dollar the platform takes in funds the network's nonprofit mission.
03Accounts
You can create an account with an email address (verified by a one-time code) or through a third-party sign-in provider. You agree to provide accurate information, to keep your email address current, and not to impersonate anyone. You are responsible for activity under your account and for keeping access to your email and sign-in providers secure. You must be at least 13 years old to create an account.
04Running a community on lucoly
If you operate a community site on the platform, you also agree to:
- use member data collected through your site only to operate your community, consistent with the member-facing privacy policy published on your site;
- publish and enforce a code of conduct appropriate for your community;
- comply with the laws that apply to your organization, including those governing fundraising, taxes, and email marketing;
- keep the third-party credentials you connect (payment, email, chat, analytics) valid and authorized for your organization's use.
05Acceptable use
You agree not to:
- use the platform for anything unlawful, deceptive, or harmful, or to harass or discriminate against others;
- upload content that infringes someone else's rights or that you do not have the right to share;
- interfere with the platform's operation, probe or breach its security, or access it by automated means except through interfaces we provide;
- resell or white-label the platform without our agreement.
06Payments and donations
Paid plans, ticket sales, and donations are processed by our payment processor. Plan fees, if any, are described at checkout. Donations are made to Nashville Tech Builders, are used for its charitable mission, and are generally non-refundable; consult your tax advisor about deductibility.
07Content
You keep ownership of content you submit to the platform. You grant us the license needed to host, display, and distribute it in order to operate the platform. We may remove content that violates these Terms. The platform's software, design, and branding are ours or our licensors' and may not be copied without permission.
08Suspension and termination
You may stop using the platform or delete your account at any time. We may suspend or terminate accounts or community sites that violate these Terms or put the network or its members at risk. Sections that by their nature should survive termination (content licenses, disclaimers, limitations of liability) survive.
09Disclaimers
The platform is provided “as is” and “as available,” without warranties of any kind, express or implied. We are a volunteer-driven nonprofit and do not promise the platform will be uninterrupted, error-free, or secure.
10Limitation of liability
To the fullest extent permitted by law, lucoly and its directors, officers, volunteers, and members will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the platform. Our total liability for any claim will not exceed the greater of the amount you paid us in the twelve months before the claim or fifty dollars (US $50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your community site, your violation of these Terms, or your violation of any law or third-party right.
12Governing law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Davidson County, Tennessee, except where the law of your place of residence requires otherwise.
13Changes
We may update these Terms from time to time. When we make material changes we will update the effective date above and take reasonable steps to notify you. Continuing to use the platform after changes take effect means you accept the updated Terms.
